FinCEN and the New Corporate Transparency Requirements

The Financial Crimes Enforcement Network (FinCEN) has reinstated the Corporate Transparency Act (CTA) reporting requirements following a brief court-ordered suspension. Companies should take note of the following key points:

  • Entities incorporated before January 1, 2024, must submit their initial beneficial ownership report by January 13, 2025.
  • Entities registered on or after January 1, 2025, must file within 30 days of effective registration.

This regulation aims to strengthen corporate transparency and combat illicit financial activities. Companies will be required to report detailed information on “company applicants”, referring to individuals responsible for the entity’s formation or registration.

Given the impact of this regulation, we recommend establishing robust internal processes for collecting, verifying, and updating the required information. Assigning a compliance officer within your company can help ensure adherence to these new obligations.

Take proactive steps to ensure compliance with these regulations.
